Terms of Service

These Terms of Service ("Terms") govern your access to and use of the WhatsUpClinic platform, website and related services (collectively, the "Service") provided by Xphora AI Technology Private Limited ("Company", "we", "us", or "our"), a company registered under the laws of India (CIN: U62011UP2025PTC219786).

By accessing or using the Service you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

The Service is intended for licensed medical practitioners, healthcare institutions and their authorised staff. By registering, you represent that:

  • You are at least 18 years of age.
  • You hold a valid medical registration in your jurisdiction (for doctor accounts).
  • The information you provide during onboarding is accurate, complete and current.
  • You have the authority to bind any clinic or organisation you represent.

2. The Service

WhatsUpClinic provides a WhatsApp-based telemedicine platform that enables doctors and clinics to:

  • Accept and manage patient appointments via WhatsApp.
  • Generate and deliver digital prescriptions.
  • Collect payments through integrated payment gateways (UPI, cards, bank transfer).
  • Send automated follow-ups, reminders and health tips to patients.
  • Maintain electronic medical records (EMR) accessible from any device.

We reserve the right to modify, suspend or discontinue any part of the Service at any time with reasonable notice.

3. Account & Onboarding

  • You must complete our doctor onboarding (KYC) process, including submission of medical registration, identity documents and banking details for payment settlement.
  • We verify credentials within 24-48 hours. We reserve the right to reject or revoke onboarding for incomplete, fraudulent or unverifiable submissions.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

4. Fees & Payments

  • Current pricing is displayed on our website and may vary by region. Prices are subject to change with 30 days' notice.
  • A one-time setup fee covers WhatsApp Business configuration, payment gateway integration and clinic profile setup.
  • Patient payment processing is handled by third-party payment gateways. Transaction fees and settlement timelines are governed by the payment provider's terms.
  • All fees are non-refundable once the clinic setup process has begun, except where required by applicable consumer protection law.

5. Doctor Responsibilities

As a registered doctor on WhatsUpClinic, you agree to:

  • Practise medicine in compliance with all applicable laws, regulations and professional standards in your jurisdiction.
  • Maintain a valid and current medical registration for the duration of your use of the Service.
  • Ensure patient data shared through the platform is handled in accordance with applicable privacy and healthcare regulations.
  • Not use the Service for any unlawful, fraudulent or harmful purpose.
  • Not share your account credentials with unauthorised individuals.

6. Patient Data & Compliance

  • You, as the healthcare provider, remain the data controller for patient health records managed through the Service. We act as a data processor on your behalf.
  • The platform is designed to support compliance with HIPAA (US), GDPR (EU/UK) and India's DPDPA (2023). However, ultimate compliance responsibility rests with the healthcare provider.
  • You must obtain appropriate patient consent before using the platform for teleconsultation, prescription delivery or payment collection.

7. Intellectual Property

  • The WhatsUpClinic name, logo, software, design and content are owned by Xphora AI Technology Pvt. Ltd. and are protected by applicable intellectual property laws.
  • You retain ownership of your clinic branding, patient records and content you create through the Service.
  • You grant us a limited licence to display your clinic name and brand on the WhatsApp Business profile we configure for you, solely for the purpose of operating the Service.

8. Limitation of Liability

  • The Service is provided "as is" and "as available". We do not warrant uninterrupted or error-free operation.
  • We are not liable for any medical decisions, diagnoses or treatments made by doctors using the platform. Clinical responsibility rests entirely with the practising doctor.
  • To the maximum extent permitted by law, our total liability for any claim arising from the Service shall not exceed the fees you have paid to us in the 12 months preceding the claim.
  • We are not liable for any loss resulting from WhatsApp service disruptions, payment gateway failures or third-party service outages.

9. Termination

  • You may stop using the Service at any time by notifying us at aakashdeep@whatsupclinic.com.
  • We may suspend or terminate your access if you violate these Terms, provide false information, or engage in conduct harmful to other users or the platform.
  • Upon termination, we will provide a reasonable period (minimum 30 days) for you to export your data, after which it may be deleted.

10. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Goa, India. Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.

11. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the website at least 30 days before they take effect. Continued use of the Service after changes constitutes acceptance.
